Ms. Becker’s practice focuses on mergers and acquisitions, securities, public and private equity offerings and general corporate representation of clients. Ms. Becker performs services for a full range of clients, from closely held concerns to exchange‐listed companies, as well as investment banks, institutional investors and financial advisors. In addition, Ms. Becker advises clients and their boards of directors with respect to corporate governance and corporate strategy.
Ms. Becker has specific expertise in the financial institutions sector where she advises a number of the largest financial institutions in California in a wide range of corporate governance matters, capital‐raising transactions, and mergers & acquisitions transactions. Her practice includes regular interaction with federal and state banking regulatory agencies, including the OCC, Federal Reserve, FDIC, OTS, and the California Department of Financial Institutions. Ms. Becker’s public company representation includes matters relating to federal securities laws under the Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes‐Oxley Act of 2002, as well as state securities laws. Ms. Becker regularly represents public company acquirers in fairness hearings before the California Department of Corporations.
Ms. Becker has assisted in the formation of five de novo banks in Los Angeles, including advising bank applicants through the regulatory application process, preparation of initial public offering materials, satisfaction of all regulatory conditions to opening, post‐opening corporate governance and regulatory matters, and subsequent capital‐raising transactions.
In addition to her representation of financial institutions, Ms. Becker also represents real estate investment trusts in public offerings and corporate securities matters. Ms. Becker currently represents one of the few land‐based REITs in the nation, having advised the company through its successful navigation of federal and state securities laws in its initial public offering and having continued to serve as primary counsel with respect to all corporate governance and federal securities regulatory matters.
Ms. Becker is actively involved in civic organizations within the Los Angeles area. She serves on the Board of Directors of the Black Women Lawyers of Los Angeles and as a mentor for middle school‐aged girls through Mentoring Our Students Through Experience (MOSTE), a non‐profit organization. Ms. Becker is also actively involved in the Holocaust reparations project through Bet Tzedek, a non‐profit legal services organization. Ms. Becker recently served as General Counsel of the Los Angeles Conservation Corps, a Los Angeles‐based non‐profit that provides at‐risk youths and young adults with opportunities for success through job training and education with an emphasis on conservation projects.
